1 Introduction & Acceptance of Terms

• You have independently reviewed all available safety data, literature, and hazards associated with the Product;
• You assume all risks associated with the Product, including but not limited to toxicity, reactivity, contamination, degradation, or any other hazard;
• You will comply with all applicable federal, state, local, and international laws, regulations, and institutional policies governing the possession, use, storage, and disposal of the Product;
• Any use of any Product for human or veterinary consumption is strictly prohibited, may be illegal, and may result in serious injury or death — NutraBiotech bears no liability for any such unauthorized use.

Product descriptions, specifications, purity data, CAS numbers, molecular formulas, certificates of analysis, and all other technical information provided on the Website or in accompanying documentation are provided for informational purposes based on data available at the time of publication. 4.4 Product Availability & Substitution

All Products are subject to availability. NutraBiotech reserves the right to discontinue any Product at any time without notice. We may, at our sole discretion, limit the quantity of Products available for purchase per customer, per Order, or per time period. In the event a Product becomes unavailable after you place an Order, we will notify you and provide the option to wait for restocking, select an alternative product, or cancel the affected portion of your Order.

5 Orders, Pricing & Payment

5.1 Order Formation

All Orders placed through the Website or via direct communication constitute an offer from you to purchase Products subject to these Terms. No Order shall be deemed accepted by NutraBiotech until we issue a written order confirmation or ship the Products, whichever occurs first. NutraBiotech reserves the right, in its sole discretion, to refuse or cancel any Order for any reason, including but not limited to:

• Suspected fraudulent or unauthorized activity;
• Product unavailability or discontinuation;
• Errors in pricing, product descriptions, or technical specifications;
• Suspected violation of these Terms or applicable laws;
• Concerns regarding the intended use of the Products;
• Export control restrictions or sanctions applicable to the destination country or recipient.

If we cancel an Order after payment has been processed, we will issue a full refund for the canceled portion using the original payment method.

5.2 Pricing

All prices are listed in United States Dollars (USD) unless otherwise indicated. Prices are subject to change without prior notice. The price applicable to your Order is the price displayed on the Website at the time your Order is submitted, subject to correction of any manifest pricing errors. Prices do not include applicable taxes, customs duties, import fees, shipping charges, or any other governmental charges, all of which are your sole responsibility unless explicitly stated otherwise.

NutraBiotech reserves the right to correct any pricing errors, whether discovered before or after Order acceptance. In the event of a pricing error, we will notify you and provide the option to proceed at the corrected price or cancel the Order.

5.3 Payment Terms

Payment is due in full at the time of Order placement unless alternative payment terms have been agreed upon in a separate written agreement signed by NutraBiotech. We accept the payment methods displayed on the Website at the time of checkout. By submitting payment information, you represent and warrant that you are authorized to use the selected payment method and that all payment information provided is accurate and complete.

NutraBiotech utilizes third-party payment processors. We do not store full credit card numbers or sensitive payment credentials on our servers. All payment processing is subject to the terms and privacy policies of the respective payment processor.

5.4 Taxes & Duties

You are solely responsible for all applicable sales, use, value-added (VAT), goods and services (GST), customs, import, and any other taxes, duties, tariffs, or governmental charges imposed on your Order, whether assessed at the point of sale or upon importation. NutraBiotech shall not be liable for any delays, additional costs, or seizure of Products by customs authorities in any jurisdiction.

5.5 Bulk & Custom Orders

Bulk pricing, custom synthesis requests, and special Order arrangements are governed by separate quotation and agreement terms. Such terms shall be set forth in a written quotation or pro forma invoice issued by NutraBiotech and accepted by you. In the event of any conflict between such specific agreement and these Terms, the specific agreement shall prevail with respect to the particular Order.

6 Shipping, Delivery & Risk of Loss

6.1 Shipping Methods

NutraBiotech ships Products using third-party carriers selected at our discretion unless you specify a preferred carrier at the time of Order placement. All shipping costs, including insurance (if elected), are your responsibility unless otherwise agreed in writing. Shipping costs displayed at checkout are estimates and may be subject to adjustment for oversized, hazardous, temperature-sensitive, or otherwise non-standard shipments.

6.2 Estimated Delivery Times

Any delivery dates or timeframes provided (on the Website, in order confirmations, or via any other communication) are estimates only. NutraBiotech makes no guarantee and accepts no liability for delivery by any particular date. We shall not be liable for any loss, damage, or expense arising from delayed delivery, regardless of cause.

6.3 Risk of Loss & Title

6.4 Inspection Upon Receipt

You must inspect all Products promptly upon receipt. Any claim for shortage, damage, defect, or non-conformity must be reported in writing to NutraBiotech within seven (7) calendar days of delivery. Failure to provide timely notice shall constitute an irrevocable acceptance of the Products and a waiver of all claims relating to the condition of the Products at delivery.

6.5 International Shipments

For Orders shipped to destinations outside the country of origin, you are the importer of record and must comply with all applicable import laws, regulations, and licensing requirements. You are responsible for all customs clearance, duties, taxes, and fees. NutraBiotech shall not be liable for delays, seizures, destruction, or additional charges imposed by customs or other governmental authorities. We cannot guarantee that any particular Product may be legally imported into your jurisdiction. It is your sole responsibility to verify import eligibility before placing an Order.

7 Returns, Refunds & Cancellations

7.1 General Policy

Due to the nature of our Products as research chemicals requiring strict quality control and handling integrity, all sales are final unless otherwise agreed in writing. NutraBiotech maintains a highly restrictive return and refund policy to protect the integrity of our supply chain and ensure that no Product that has left our controlled environment can re-enter our inventory.

7.2 Circumstances Warranting Consideration

NutraBiotech may, in its sole discretion, consider a return, replacement, or refund only under the following limited circumstances:

• Manufacturing Defect: The Product is proven, by independent laboratory analysis acceptable to NutraBiotech, to materially deviate from the certified specifications provided at the time of sale;
• Shipping Error by NutraBiotech: We shipped a Product materially different from the Product described in your Order confirmation, and you notified us within seven (7) calendar days of delivery;
• Product Damaged Before Shipment: Documented evidence (photographs, video) demonstrates that the Product was damaged before being tendered to the carrier.

7.3 Conditions for Any Return

Any return, if authorized by NutraBiotech in writing, is subject to the following strict conditions:

• You must obtain a Return Merchandise Authorization (RMA) number from NutraBiotech before returning any Product — unauthorized returns will be refused and returned at your expense;
• The Product must be in its original, unopened, sealed packaging with all seals, labels, and tamper-evident features intact;
• The Product must not have been removed from its original container or exposed to any environmental conditions outside the recommended storage parameters;
• You bear all costs and risks associated with return shipping, including insurance;
• A restocking fee of up to twenty-five percent (25%) of the Product price may be applied at NutraBiotech's discretion;
• The return authorization is valid for fourteen (14) calendar days — Products received after this period will be refused.

7.4 Non-Returnable Products

The following categories are strictly non-returnable under any circumstances:

• Custom-synthesized or made-to-order Products;
• Products that have been opened, used, or whose packaging integrity is compromised;
• Products requiring cold-chain or special storage conditions that cannot be verified upon return;
• Products sold as "research sample," "evaluation lot," or similar designation;
• Products whose shelf life has expired or is within three (3) months of expiry;
• Bulk quantities exceeding standard catalog sizes, at NutraBiotech's determination.

7.5 Order Cancellation

Order cancellation requests must be submitted in writing. NutraBiotech may, at its sole discretion, allow cancellation if the Order has not yet been processed or shipped. Cancellation of an Order that has been processed, picked, packed, or shipped will be treated as a return and is subject to all conditions in Section 7.3, including applicable restocking fees. NutraBiotech retains the right to refuse cancellation of any Order for any reason.

7.6 Refund Processing

Approved refunds will be processed within thirty (30) Business Days of NutraBiotech's receipt and inspection of the returned Product (if applicable) or the date of our written refund confirmation. Refunds will be issued using the original payment method. NutraBiotech shall not be liable for any currency conversion fees, bank charges, or exchange rate fluctuations that affect the amount received.

8 Intellectual Property Rights

8.1 Ownership

Unless otherwise expressly stated, NutraBiotech LLC and/or its licensors own all right, title, and interest in and to the Website and all Content, including but not limited to:

• All text, graphics, logos, icons, images, audio, video, data compilations, and software;
• All product descriptions, technical specifications, analytical data, and research summaries;

15.2 Aggregate Liability Cap

Notwithstanding anything to the contrary in these Terms, NutraBiotech's total aggregate liability to you for all claims arising out of or relating to these Terms, the Website, or any Products purchased, whether in contract, tort, or otherwise, shall in no event exceed the lesser of: (a) the total amount paid by you to NutraBiotech for the specific Product(s) giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim; or (b) Five Thousand United States Dollars (USD $5,000.00). The existence of more than one claim shall not enlarge this limit.

• Any claim that your use of a Product caused damage, injury, or harm to yourself, any other person, or any property;
• Any User Content you post, submit, or transmit through the Website;
• Any negligent, reckless, or intentionally wrongful act or omission by you or anyone acting under your direction or control;
• Any regulatory investigation, enforcement action, or penalty arising from or related to your import, export, possession, storage, use, or disposal of any Product.

NutraBiotech reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You shall not settle any claim that imposes any obligation or liability on NutraBiotech without our prior written consent.

17 Governing Law & Jurisdiction

17.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded and shall not apply.

17.2 Exclusive Jurisdiction

Subject to Section 18 (Dispute Resolution & Arbitration), you agree that any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in the State of Wyoming, and you irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objection based on improper venue, inconvenient forum, or lack of personal jurisdiction.

17.3 Time Limit for Claims

Any claim or cause of action arising out of or related to these Terms, the Website, or any Product must be filed within one (1) year after the cause of action arose, regardless of any statute or law to the contrary. Failure to file within this period shall result in the claim being permanently barred.

18 Dispute Resolution & Arbitration

18.1 Mandatory Pre-Arbitration Negotiation

Before initiating any arbitration or legal proceeding, you agree to first contact NutraBiotech and attempt to resolve the dispute informally. Both parties shall negotiate in good faith for a period of at least sixty (60) calendar days. Notice must include: (a) your full name and contact information; (b) a detailed description of the nature and basis of the claim; and (c) the specific relief sought.

18.2 Binding Arbitration

Any dispute, controversy, or claim arising out of, relating to, or in connection with these Terms, the Website, or any Product — including any dispute as to the existence, validity, interpretation, breach, or termination of these Terms, or as to the arbitrability of any matter — that cannot be resolved through informal negotiation shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules then in effect.

The arbitration shall be conducted in Wyoming, USA, by a single arbitrator appointed in accordance with AAA rules. The arbitrator shall have the authority to grant any remedy that would otherwise be available in court, provided that the arbitrator shall have no authority to award punitive, exemplary, or multiplied damages except where expressly permitted by statute. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, or to prevent immediate and irreparable harm, without first engaging in the informal dispute resolution or arbitration procedures described above.

18.5 Confidentiality of Proceedings

All aspects of the arbitration proceeding, including but not limited to the existence of the dispute, any documents exchanged or produced, the hearing, testimony, evidence, and the award, shall be strictly confidential and shall not be disclosed to any third party except as necessary to enforce the award or as required by law.

19 Force Majeure

NutraBiotech shall not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms that is caused by events outside our reasonable control ("Force Majeure Event"). A Force Majeure Event includes, but is not limited to:

• Acts of God, natural disasters, earthquakes, floods, fires, or extreme weather;
• War (declared or undeclared), hostilities, invasion, act of foreign enemies, terrorism, civil war, rebellion, revolution, insurrection, military or usurped power;
• Epidemics, pandemics, public health emergencies, quarantine restrictions, or government-imposed lockdowns;
• Acts of any governmental authority, including but not limited to trade restrictions, embargoes, sanctions, import/export bans, or regulatory changes;
• Strikes, labor disputes, or industrial disturbances (whether at NutraBiotech or at any third-party service provider);
• Failure or disruption of utility services, telecommunications networks, internet infrastructure, or transportation systems;
• Shortages or unavailability of raw materials, components, or supplies from third-party sources;
• Cyberattacks, hacking, or other malicious interference with our systems or operations.

Our performance under these Terms shall be deemed suspended for the period that the Force Majeure Event continues, and we shall have an extension of time for performance for the duration of that period. We will use reasonable efforts to bring the Force Majeure Event to a close or to find a solution by which our obligations may be performed despite the Force Majeure Event.

20 Export Controls & International Use

20.1 Export Compliance

Products sold by NutraBiotech may be subject to export controls and trade sanctions under United States law and the laws of other jurisdictions. You represent and warrant that you will not, directly or indirectly, export, re-export, transfer, or release any Product to any destination, entity, or person prohibited by applicable export control laws, including but not limited to the U.S. Export Administration Regulations (EAR), the International Traffic in Arms Regulations (ITAR), and sanctions administered by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC).

20.2 Prohibited Destinations & Parties

You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to comprehensive U.S. sanctions (including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea region of Ukraine). You further represent that you are not on any restricted or denied party list maintained by any governmental authority.

20.3 International Compliance

If you access the Website or purchase Products from outside the United States, you do so at your own risk and are responsible for compliance with all local laws and regulations applicable in your jurisdiction, including import licensing, customs clearance, chemical registration and notification obligations, and environmental disposal requirements. NutraBiotech makes no representation that the Website or Products are appropriate or available for use in any particular jurisdiction outside the United States.

21 Termination

21.1 Termination by You

You may terminate these Terms at any time by discontinuing all use of the Website and requesting the closure of your account (if applicable). Termination by you does not relieve you of any obligations accrued prior to termination, including payment obligations for Products already ordered or delivered.

21.2 Termination by NutraBiotech

NutraBiotech may terminate or suspend your access to the Website and/or your account, immediately and without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination:

• Your right to access and use the Website shall immediately cease;
• All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 8 (Intellectual Property), 9 (User-Generated Content), 14 (Disclaimer of Warranties), 15 (Limitation of Liability), 16 (Indemnification), 17 (Governing Law), 18 (Dispute Resolution), 21 (Termination), and 25 (Contact Information);
• NutraBiotech may retain and use your information as necessary to comply with legal obligations, resolve disputes, and enforce our agreements;
• You remain liable for all amounts due up to and including the date of termination.

21.3 No Liability for Termination

NutraBiotech shall not be liable to you or any third party for any termination of your access to the Website or for the deletion of any Content, User Content, or account information.

22 Modifications to Terms

22.1 Right to Modify

NutraBiotech reserves the right, in its sole discretion, to modify, amend, supplement, or replace these Terms at any time. The most current version of the Terms will be posted on this page, and the "Last Updated" date at the top of this document will be revised accordingly. Material changes may, at NutraBiotech's option, be communicated through the Website, by email to registered users, or by a notice posted on the Website's homepage.

22.2 User's Obligation to Review

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid provision that most closely approximates the economic and legal intent of the original provision.

23.2 Waiver

No failure or delay by NutraBiotech in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude any further or other exercise thereof or the exercise of any other right, power, or remedy. The rights and remedies provided in these Terms are cumulative and not exclusive of any rights and remedies provided by law. Any waiver must be in writing and signed by an authorized representative of NutraBiotech to be effective.

24 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements expressly incorporated by reference, constitute the entire agreement between you and NutraBiotech regarding the Website and Products and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter hereof.

No course of prior dealings between the parties and no usage of trade shall be relevant to supplement or explain any term used in these Terms. In entering into this Agreement, you have not relied on, and shall have no right or remedy in respect of, any statement, representation, assurance, or warranty (whether made negligently or innocently) other than as expressly set out in these Terms.

In the event of any conflict or inconsistency between these Terms and any other document purporting to govern the relationship between you and NutraBiotech, these Terms shall prevail unless the conflicting document explicitly states that it supersedes these Terms and is signed by an authorized representative of NutraBiotech.
